These Terms of Service ("Terms") govern your access to and use of the Reserva
platform, including our website, patient booking tools, clinic dashboards,
waitlists,
notifications, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do
not
agree, do not use Reserva.
1. About Reserva
Reserva is a scheduling and waitlist management platform designed to help clinics
manage appointment availability and help patients request and receive appointment
offers. Reserva is an administrative software service only and does not provide
medical, clinical, or healthcare services.
2. Eligibility and Acceptance
You must be at least 13 years of age to use the Service. By using Reserva, you
represent that you have the legal authority to enter into these Terms, either on
your
own behalf or on behalf of an organization.
Use of the Service constitutes acceptance of these Terms and our
Privacy
Policy.
3. Clinics and Patients
a. Clinics
Clinics are solely responsible for:
- The accuracy of schedules, availability, visit types, and appointment
information
- Compliance with all applicable laws, professional obligations, and privacy
requirements
- Obtaining any required patient consent
Reserva acts as a service provider and does not control or supervise clinic
operations,
staff, or decision-making.
b. Patients (Including Guest Patients)
Patients are responsible for providing accurate and up-to-date information.
Submitting
a booking request or joining a waitlist does not guarantee that an appointment will
be
offered or confirmed.
Reserva does not determine patient eligibility, urgency, or clinical priority.
4. Waitlists and Appointment
Offers
Reserva provides tools that allow clinics to configure appointment types,
availability,
and scheduling preferences. Clinics retain full control over how appointments are
offered and confirmed.
Any internal automation used by the Service operates solely based on clinic-defined
settings and availability. Reserva does not exercise judgment or make decisions
regarding which patients receive appointments.
Appointment offers are not guaranteed and may be withdrawn or expire.
5. No Medical Advice or
Emergency
Use
Reserva does not provide medical advice, diagnosis, treatment, or emergency
services.
If you believe you are experiencing a medical emergency, contact emergency
services
immediately. Do not rely on Reserva for urgent or emergency care.
6. Accounts, Access, and Staff
Management
Some features require account creation, while others may be available to guest
users.
You are responsible for maintaining the confidentiality of login credentials and for
all activity occurring under your account.
Clinic administrators are responsible for:
- Adding, removing, and managing staff access
- Actions taken by users under their account
- Ensuring staff comply with these Terms
Reserva is not responsible for internal misuse of access by clinic staff.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Attempt to access, probe, or disrupt other accounts, systems, or data
- Send spam, abusive, or unsolicited communications through the Service
- Interfere with, bypass, or circumvent Service limits, security features, or
access
controls
- Use automated tools to scrape, collect, or extract data from the Service without
permission
8. Subscription Plans and
Billing
Certain features of the Service require a paid subscription.
a. Billing
- Subscription fees are billed in advance on a recurring basis (monthly unless
otherwise stated)
- Subscriptions automatically renew unless cancelled
- You may cancel at any time; cancellation generally takes effect at the end of
the
current billing period
- Fees are exclusive of applicable taxes, which may be charged as required
- No prorated refunds or credits for unused time, except where required by law
b. Changes and Payment Failure
- Features, limits, and access depend on the subscribed plan
- If payment fails, access to paid features may be suspended until payment is
resolved
- Reserva may change pricing or plan features with reasonable notice
Upgrading or downgrading plans may affect feature availability immediately or at the
next billing cycle, depending on the plan.
9. Communications and
Notifications
The Service may send transactional communications such as appointment confirmations,
reminders, and waitlist notifications via email or SMS, based on user preferences.
Subscription plans may include limits on the number of notifications sent during a
billing period. If limits are reached, notifications may be paused, blocked, or
require
a plan upgrade. Notification limits and reset periods are described in the Service
or
plan details and may change from time to time.
Note: Delivery of SMS and email messages is subject to
third-party
service providers and carrier availability and is not guaranteed.
10. White-Label Booking Pages
and
Custom Domains
Some subscription plans allow clinics to customize booking pages, branding, or
domains.
Clinics are solely responsible for:
- All content, branding, and information displayed
- Ensuring content is accurate, lawful, and not misleading
- Compliance with applicable advertising, professional, and privacy laws
Reserva does not review or approve clinic content and is not responsible for how
clinics present themselves using white-label features. Clinics must not use
white-label
pages to publish unlawful, misleading, or inappropriate content. Reserva may disable
these features if they are misused or create legal, security, or reputational risk.
11. Availability and Service
Changes
The Service is provided on an "as is" and "as available" basis, without warranties
of
any kind, express or implied, except as required by law.
Reserva strives to provide a reliable Service but does not guarantee uninterrupted
or
error-free operation.
We may modify, suspend, or discontinue any part of the Service at any time, with or
without notice.
12. Suspension, Deactivation,
and
Termination
a. Suspension
Reserva may temporarily suspend access for reasons including non-payment, misuse, or
security concerns. Data remains retained during suspension.
b. Deactivation (User-Initiated)
Users may deactivate their account. Access will be removed, and data may be
soft-deleted and retained as required for legal, regulatory, or compliance purposes.
c. Termination
Reserva may terminate access for serious or repeated violations of these Terms. Data
may be retained as required by law.
Subject to applicable law and operational feasibility, clinics may request a copy of
their data prior to termination.
13. Intellectual Property
The Service, including its software, design, text, and branding, is owned by Reserva
or
its licensors and is protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, or reverse engineer any part of the
Service
without prior written permission.
14. Limitation of Liability
To the maximum extent permitted by law:
- Reserva is not liable for indirect, incidental, consequential, special, or
punitive
damages
- Reserva is not responsible for clinic decisions, appointment outcomes, or
patient
care
- Reserva does not guarantee appointment availability or waitlist success
In no event shall Reserva's total liability exceed the amount paid to Reserva for
use
of the Service in the twelve months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Reserva from any claims, damages, losses,
or
expenses arising out of your use of the Service or violation of these Terms.
16. Privacy
Your use of the Service is subject to our
Privacy
Policy,
which explains how personal information is collected, used, and protected. The
Privacy
Policy forms part of these Terms.
17. Governing Law and
Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the laws of
Canada
applicable therein.
Any disputes shall be resolved exclusively in the courts located in Ontario, Canada.
18. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted with a
revised "Last updated" date.
Continued use of the Service constitutes acceptance of the updated Terms.
